Terms of Service

These terms govern your use of this website and any services provided by Apex Marbella, operated by Alfie Kew (the “Agency”, “we”, “us”). By using this website or engaging our services you agree to these terms. Specific projects are also governed by the individual agreement we sign with you, which takes precedence if there is any conflict.

1. Our services

We design and build websites and digital systems, and provide AI automation and related consultancy. The exact scope, deliverables, and timeline for any project are set out in a written proposal or agreement agreed with you before work begins.

2. Proposals and quotes

Quotes and proposals are based on the information available at the time and are valid for the period stated. Work begins once you have approved the proposal and any required deposit has been received.

3. Fees and payment

Fees, payment schedule, and any monthly retainer are set out in your agreement. Unless agreed otherwise, build fees are invoiced in instalments (typically a deposit to start and the balance on launch). Invoices are payable by the date stated. We may pause work on overdue accounts.

4. Your responsibilities

To deliver on time we rely on you to provide the content, access, and feedback we request, and to ensure that any material you supply is accurate and that you have the right to use it.

5. Intellectual property

On full payment, ownership of the final deliverables created specifically for you passes to you, except for third-party components, open-source software, and our own pre-existing tools and frameworks, which remain owned by their respective owners and are licensed to you for use in your project. We may display the completed work in our portfolio and add a discreet credit unless we agree otherwise in writing.

6. Third-party services and AI

Our builds often rely on third-party services (such as hosting, analytics, payment, messaging, and AI providers), each with its own terms. We are not responsible for the availability or actions of those third parties. AI features assist with content and support; they can make mistakes, and important output should be reviewed before it is relied upon.

7. Warranties and liability

We provide our services with reasonable skill and care. To the fullest extent permitted by law, we do not give other warranties, and we are not liable for indirect or consequential losses, loss of profit, or loss of data. Our total liability arising from a project is limited to the fees you have paid us for that project. Nothing in these terms limits liability that cannot be limited by law.

8. Term and termination

Either party may end an engagement as set out in the relevant agreement. On termination, you remain liable for work completed and costs committed up to that date.

9. Confidentiality

Each party will keep the other's non-public information confidential and use it only to deliver the project.

10. Governing law

These terms are governed by Spanish law. Any dispute will be subject to the courts of Málaga, without prejudice to any mandatory consumer rights you may have in your country of residence.
